Chapter 1. General Facts about WEUN
第一章 总则
1.1 Worldwide Energy University Network (hereafter referred to as WEUN) is a non-legally binding voluntary membership organization of research universities, brought together by a shared strategic interest in research, innovation, education and internationalization in the field of energy. WEUN was established at a conference on the 22nd September 2018 in Beijing initiated by its founder China University of Petroleum-Beijing (CUP), through the representatives of its first cohort of 28 founding member universities.
1.1 “世界能源大学联盟”(以下简称WEUN)，是一个由多所在能源领域研究、创新、教育和国际化方面拥有共同战略目标的研究型大学自愿组成且不具有法律约束力的全球联盟。该联盟由创始院校中国石油大学（北京）发起，于2018年9月22日在北京召开的第一届联盟全体成员大会上正式成立，第一批28所成员大学的代表参加了成立大会。
1.2 The name of the network in Chinese is: 世界能源大学联盟
The name of the network in English is: Worldwide Energy University Network (WEUN).
1.2 该联盟的中文全称是：世界能源大学联盟
该联盟的英文全称是：Worldwide Energy Universities Network (WEUN)
1.3 Activities of WEUN are conducted within the range of this Constitution, and in accordance with all applicable international laws, and the laws and regulations of the countries where each WEUN member operates.
1.3 WEUN的一切活动均在本章程规定的范围内进行，并遵守所有适用的国际法以及联盟成员所在国家的法律法规。
1.4 WEUN is chaired by a chairing member university for a 4-year renewable term on a rotation basis. The current chairing institution is CUPB, and the locations of the WEUN Secretariat is in China University of Petroleum-Beijing, located in No. 18 Fuxue Road, Changping District, Beijing, China, 102249.
1.4 WEUN采用轮值主持制，由一所成员大学主持工作，每届轮值期为4年，可重复轮值。本届的主席单位是中国石油大学（北京），WEUN秘书处设立在中国石油大学（北京），办公地址是中国北京市昌平区府学路18号，邮编102249。
Chapter 2. The Purpose
第二章 宗旨
2.1 The primary purpose of WEUN is to create a worldwide platform for communication and collaboration among and between the WEUN member universities in research, innovation and education in the field of energy.
2.1 WEUN的首要目标是在各联盟成员大学之间建立能源领域研究、创新、教育方面的全球性交流与合作平台。
2.2 The main objectives of WEUN include, but not limited to, the following:
2.2 WEUN的主要任务包括但不局限于以下几个方面：
2.2.1 To build a platform for the exchange of educational information, best practices and academic resources on energy-related issues.
2.2.1 构建能源领域教育信息、最佳实践、学术资源互换平台。
2.2.2 To leverage access to expertise and facilities and collaborate on basic and applied research in the field of energy, and to setup joint labs or centers as interests grow.
2.2.2 利用各自专家和设施优势，合作开展能源领域的基础研究和应用研究，并随着兴趣的出现，建立联合实验室和中心。
2.2.3 To support energy-related international cooperation in joint degree education, student and faculty exchange, summer courses or schools, and training programs.
2.2.3 支持与能源相关的国际合作项目，包括联合培养、学生及教师交流、暑期课程或暑期学校、培训项目等。
2.2.4 To help member universities within the countries of member universities to improve their visibility and recognition and enhance their prestige in those countries.
2.2.4 帮助提高各成员大学在所在国家的关注度、认可度和声望。
2.2.5 To organize academic conferences or seminars to address challenges facing the energy world and energy education.
2.2.5 围绕能源世界和能源教育面临的挑战，组织相关学术会议或研讨会。
Chapter 3. WEUN Membership and Rights & Responsibilities
第三章 WEUN成员资格、权力和义务
3.1 Membership in WEUN is voluntary and does not affect the independent autonomy of WEUN members, including the right to enter into bilateral or multilateral agreements with any third-party institution.
3.1 加入WEUN秉承自愿原则，并且不会影响各成员大学的自主权，包括其与任何第三方机构签订双边或多边协议的权利。
3.2 WEUN is open to all institutions of higher learning with research and teaching programs in energy, who agree with this Constitution and agree to the purpose and objectives of WEUN.
3.2 WEUN面向所有赞同本章程并且赞同联盟宗旨和目标的具有能源相关科研和教育背景的高等教育机构开放。
3.3 Membership to WEUN occurs through application to the WEUN Secretariat, which will process the applications and make a decision, by a simple majority vote of Member Representatives to the Secretariat, within six months since submission of an application.
3.3 WEUN的成员资格是通过向WEUN秘书处提出申请而产生的，秘书处会受理申请，并将在其提交申请后的六个月内通过秘书处成员代表们的简单多数投票做出决定。
3.4 Any new member acceptance will be reported to the Chairman of the General Assembly.
3.4 接受新成员的接收情况将会向联盟全体成员大会主席汇报。
3.5 WEUN members reserve the right to resign from WEUN by providing a 3-month notice of intention to do so in writing to the President and Secretary General of the WEUN Secretariat.
3.5 WEUN成员保留退出WEUN的权利，须提前三个月向WEUN秘书处主席和秘书长发出书面退出意向书。
3.6 WEUN Secretariat has the authority to remove inactive members. Application for re-admission requires re-fulfillment of the procedures.
3.6 WEUN秘书处有权移除不活跃的联盟成员。再次申请加入WEUN的申请人需要重新履行各项程序。
3.7 Membership in WEUN implies commitment to the spirit of collaboration as envisaged in the Constitution of the WEUN.
3.7 加入WEUN意味着对《世界能源大学联盟章程》所设想的合作精神的承诺。
Chapter 4. WEUN Guidance and Administration Structure
第四章 WEUN的管理和行政组织结构
The guiding and administrating bodies of WEUN are the General Assembly and the Secretariat.
WEUN的指导机构由全体成员大会和秘书处两部分组成。
4.1 General Assembly
4.1 全体成员大会
4.1.1 WEUN General Assembly is the highest decision-making body and meets every four years.
4.1.1 WEUN全体成员大会是最高决策机构，每四年召开一次。
4.1.2 The General Assembly is supervised by a Chairman and Vice Chairmen representing each member institution. The Chairman of the General Assembly is usually the president of the chairing institution.
4.1.2 全体成员大会由一名主席和多名代表各成员大学的副主席监管。全体成员大会的主席通常由本届轮值主席单位的校长担任。
4.1.3 Unless otherwise stated, a resolution of WEUN is passed by a simple majority vote of the General Assembly members.
4.1.3 除非另有说明，WEUN的决议均由全体成员大会的成员以简单多数票方式投票表决。
4.1.4 During adjournment of the General Assembly of WEUN, the WEUN leadership function is carried out by the WEUN Secretariat.
4.1.4 在WEUN全体成员大会休会期间，WEUN的领导职能由WEUN秘书处执行。
4.2 Membership in the General Assembly:

4.2.1 Presidents of member universities or representatives authorized by the presidents are members of the General Assembly as the Chairman from the chairing WEUN member and Vice Chairmen from other WEUN members.
4.2.1联盟成员大学的校长或者由校长指定的代表是WEUN全体成员大会的常务委员。大会主席来自主席单位，副主席来自其它成员大学。
4.2.2 Each WEUN General Assembly member is entitled to one vote in General Assembly resolutions.
4.2.2 在通过WEUN全体成员大会的各项决议时，每名大会委员享有一票表决权。
4.2.3 One term of the Chairman and Vice Chairmen is 4 years and is renewable. When a member of General Assembly changes his/her position and can no longer represents his/her university in WEUN, a new member is nominated by the member university within a reasonable period of time.
4.2.3 大会主席和副主席职位4年一换届。当某个大会代表更换职位或者不能再在WEUN代表其所在高校时，该校需要在一定合理期限内选派新的代表。
4.3 Responsibilities of the General Assembly:

4.3.1 To make decisions on main strategic goals of WEUN, and approve this Constitution and modifications to the Constitution, four-year plans, any policy statements or positions.
4.3.1 决定WEUN的主要战略目标，通过本章程和对章程的修改、四年计划，以及任何政策声明或立场。
4.3.2 To elect and approve the Chairing institution of WEUN.
4.3.2 选举并通过WEUN的主席高校。
4.4 Responsibilities of the Chairman of the General Assembly
4.4 WEUN全体成员大会主席的职责：
4.4.1 To convene and chair the General Assembly
4.4.1 召集和主持大会。
4.4.2 To propose and call for additional General Assembly meetings outside the regular schedule.
4.4.2 提议并要求在正常日程表之外召开额外的全体成员大会。
4.4.3 To nominate the President, Secretary General and Deputy Secretary General for the Secretariat.
4.4.3 提名WEUN秘书处的主席、秘书长、副秘书长。
4.4.4 To supervise the administration and operation of the Secretariat.
4.4.4 指导WEUN秘书处的管理和运作。
4.5 Responsibilities of Vice Chairmen of the General Assembly
4.5 WEUN全体成员大会副主席的工作职责：
4.5.1 To attend the General Assembly meetings.
4.5.1 参加WEUN全体成员大会。
4.5.2 To supervise the Member Representative for his/her university to the Secretariat.
4.5.2 监管秘书处成员代表的工作。
4.6 Secretariat and its Membership
4.6 WEUN秘书处及其成员资格
4.6.1 In addition to the Secretariat President, Secretary General and deputy Secretary General, members of the Secretariat are also composed of the Member Representatives, one from each member institution and nominated by member institution presidents, who are responsible for routine management and implementation of WEUN work in his/her institution.
4.6.1 WEUN秘书处中除主席、秘书长、副秘书长外的其他成员由各成员单位选派的代表组成，其中每家成员单位委派1名代表，并且由该校校长提名，该代表负责其所在大学在WEUN的日常工作。
4.6.2 The Secretariat is administrated by the President, Secretary General, Deputy Secretary General, and the Member Representatives to the Secretariat. Generally, the President, Secretary General and Deputy Secretary General are from the chairing institution and are nominated by the Chairman of the WEUN General Assembly for a 4-year term. All the Member Representatives to the Secretariat represent each member university for a 4-year term.
4.6.2 WEUN秘书处由主席、秘书长、副秘书长和各成员代表共同管理。主席、秘书长和副秘书长一般来自主席单位，由WEUN全体成员大会主席提名，任期4年。秘书处的所有成员高校代表任期4年。
4.6.3 WEUN Secretariat members meet every two years and extra meetings are organized with the approval of the Secretariat President. Extra meetings can be in person or by conference call. A resolution passed by a simply majority vote of the Secretariat members is valid.
4.6.3 WEUN秘书处成员每两年召开一次会议，经秘书处主席批准后可召开额外的会议。额外召开的会议可以通过现场出席或电话会议的形式召开。经秘书处成员简单多数票通过的决议是有效的。
4.6.4 Each member nominates a correspondent and all communications will be validly addressed to this correspondent.
4.6.4 每所成员大学提名1名通讯员，负责该校在联盟内的所有联络事宜。
4.7 Responsibilities of the Secretariat:
4.7 WEUN秘书处职责：
4.7.1 To give effect to the decisions of the General Assembly, to report the activities in the preceding year and to propose annual program to the Chairman of the General Assembly, to implement the annual program, and to organize, operate and assess each activity of WEUN.
4.7.1 执行全体成员大会的决定，向全体成员大会主席汇报上一年度的活动并提出年度方案，实施年度方案，组织、运行和评估WEUN的各项活动。
4.7.2 To accept and process membership applications.
4.7.2 受理入盟申请。
4.7.3 To take leading responsibilities during adjournment of the General Assembly.
4.7.3 在全体成员大会休会期间负领导责任。
4.7.4 To propose resource requirements and deal with administration documents related to the operation and management of WEUN to the Chairman of the General Assembly.
4.7.4 向全体成员大会主席提出资源申请，并且处理与WEUN运行管理有关的行政文件。
4.7.5 To make recommendations to the General Assembly as to the chairing institution when the acting chairing institution finishes its 4-year term or is to be changed for other reasons.
4.7.5 在本届轮值主席单位完成其4年任期或因其他原因需要变更时，向全体成员大会提出新一届主席单位的候选建议。
4.7.6 To write and submit the WEUN annual report to the Chairman of the General Assembly.
4.7.6 编写WEUN年度工作报告，并向全体成员大会主席提交。
4.7.7 To propose and set up special committees.
4.7.7 提议并设立特别委员会：
4.7.7.1 One member of the Secretariat can serve for more than one committee, and special committee Chairs are elected by simple majority vote of Secretariat members.
4.7.7.1 秘书处每位成员都可以在多个特别委员会任职，特别委员会主席由秘书处成员的普通多数票选举产生。
4.7.8 To remove a WEUN member as stated in 3.6.
4.7.8 如3.6所述移除WEUN成员。
4.7.9 To manage all the routine work of WEUN under the supervision of the President.
4.7.9 在WEUN主席的监管下管理WEUN的所有日常工作。
4.7.10 To be the main contact office for all communications among the WEUN members.
4.7.10 作为主要联络办公室处理WEUN内部的所有通信。
4.8 Responsibilities of the President
4.8 WEUN秘书处主席的工作职责：
4.8.1 To convene and chair the WEUN Secretariat meetings.
4.8.1 召集和主持WEUN秘书处全体会议。
4.8.2 To call for and chair extra Secretariat meetings when necessary.
4.8.2 必要时召集并主持额外的秘书处会议。
4.8.3 To supervise the Secretariat.
4.8.3指导WEUN秘书处工作。
4.9 The responsibilities of Secretary General and Deputy Secretary General:
4.9 WEUN秘书处秘书长和副秘书长的工作职责：
4.9.1 To manage the WEUN Secretariat to handle routine matters of the General Assembly and Secretariat.
4.9.1 管理WEUN秘书处,处理WEUN全体成员大会和秘书处的日常事务。
4.9.2 To implement the plans and operate programs of WEUN approved by the General Assembly.
4.9.2 执行经全体成员大会通过的WEUN工作计划和运行方案。
4.10 Responsibilities of Member Representatives to WEUN Secretariat
4.10 WEUN秘书处成员代表的工作职责：
4.10.1 To attend the Secretariat meetings and implement the plan of WEUN within their home universities.
4.10.1 参加WEUN秘书处会议，并在其所在成员大学内实施WEUN的工作计划。
4.10.2 To publish and coordinate WEUN programs in their home universities.
4.10.2 发布和协调其所在成员大学的WEUN项目。
4.10.3 To discover resources to enrich the activities of WEUN and foster its development.
4.10.3 发掘资源，丰富WEUN各项活动，促进WEUN的未来发展。
4.10.4 To make good proposals for WEUN activities to the Secretariat.
4.10.4 向WEUN秘书处提出好的活动建议。
4.10.5 To be the main coordinators representing their home universities in all WEUN affairs.
4.10.5 在所有WEUN事务中担任其所在成员大学的主要协调员。
Chapter 5. Budget
第五章 预算
5.1 The daily running expenses of the WEUN Secretariat is borne from the chairing institution.
5.1 WEUN秘书处的日常运行费用由WEUN轮值主席单位承担。
5.2 There is no imposed obligation on any other member to provide funds to support WEUN administration.
5.2 任何其它成员大学均无强加的义务为WEUN管理提供资金支持。
Chapter 6. The Legal Status of WEUN
第六章 法律地位
6.1 WEUN is a non-legally binding voluntary network as stated in 1.1.
6.1 如1.1所述，WEUN是一个不具有法律约束力的自愿参加的组织。
6.2 Neither the Declaration of Worldwide Energy University Network (signed on September 22, 2018) nor the Constitution of Worldwide Energy University Network create a legal relationship among WEUN members. Any legal relationship required among members for joint research or education, non-disclosure or confidentiality, or protection of intellectual property, joint venture, will be the subject of separate legal agreements between contracting parties under agreed legal jurisdiction.
6.2 《世界能源大学联盟宣言》（签署于2018年9月22日）和《世界能源大学联盟章程》均不在联盟各成员大学间建立法律关系。成员之间为共同研究、不披露或保密或保护知识产权所需的任何法律关系，将在商定的法律管辖范围内行成单独的法律协议。
6.3 This Constitution does not intend to create a partnership, agency, joint venture or any other form of legal relationship where one member may be liable for debts or obligations of the other or represents the other without authorization.
6.3 本章程不会使各成员间建立合伙、代理、合资企业或任何其他形式的法律关系，任何成员不对其它成员的债务或义务负责，未经授权也不能代表其它成员。
Chapter 7. Reorganization, Termination of WEUN and Others
第七章 WEUN的重组与终止及其它事项
7.1 WEUN can be reorganized or terminated according to the resolution of the General Assembly. Decisions to reorganize or terminate WEUN must be ratified by a two-thirds majority of General Assembly members.
7.1 WEUN可以根据全体成员大会的决议进行重组或终止活动。重组或终止的决议必须经大会三分之二多数成员通过。
7.2 If the WEUN is terminated, the activities of WEUN and the Secretariat will be wound down in an efficient and reasonable manner.
7.2 WEUN一旦终止，联盟和联盟行政办公室的一切活动将以有效和合理的方式终止。
7.3 Any disagreement or conflict, caused by participating the WEUN affairs, between or among member universities, will be solved via friendly negotiation. Serious and irreconcilable disagreements or conflicts will be addressed to the Chairman or the General Assembly.
7.3 成员大学之间因参与WEUN事务而产生的任何分歧或冲突，将通过友好协商方式解决。严重和不可调和的分歧将提交主席单位或全体成员大会处理。
7.4 This Constitution will come into force after it is signed by members.
7.4 本章程经联盟成员签署后生效。
